This End-User License Agreement ("Agreement") is a legally binding contract between Detail Driven and any individual who accesses or uses the Software ("you"). By accessing the Software — including any page, application screen, data endpoint, or connected integration — you accept this Agreement in full. If you do not agree to every term of this Agreement, you are prohibited from accessing the Software and must cease all access immediately.
Use of the Software is restricted exclusively to:
All other access is unauthorized. Unauthorized access to this system, or exceeding your authorized level of access, is prohibited and may constitute a violation of the U.S. Computer Fraud and Abuse Act (18 U.S.C. § 1030), the Wyoming Computer Crimes statutes (Wyo. Stat. § 6-3-501 et seq.), and other applicable laws.
Subject to your strict compliance with this Agreement, Detail Driven grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Software solely (a) in the course of performing your duties for Detail Driven, and (b) on devices approved by Detail Driven. No other right or license of any kind is granted, whether by implication, estoppel, or otherwise. Detail Driven may suspend or revoke this license at any time, for any reason or no reason, without notice.
You shall NOT, under any circumstances:
The Software, its design, code, documentation, data models, reports, and all intellectual property rights therein are and remain the sole and exclusive property of Detail Driven. All business and customer data processed by the Software is the property of Detail Driven or its customers. You acquire no ownership interest whatsoever. All rights not expressly granted are reserved.
The Software connects, read-only where possible, to third-party services used by Detail Driven's businesses — including, without limitation, Intuit QuickBooks Online, GoHighLevel, Tekmetric, Stripe, Microsoft Bing Webmaster Tools, and Google services. Your use of data originating from those services is additionally governed by the applicable third party's terms, and nothing in this Agreement grants you any right against those third parties. Detail Driven's use of Intuit services is governed by the Intuit Developer terms; QuickBooks data is used solely for Detail Driven's internal accounting and reporting and is never resold or disclosed to third parties.
Everything you see in the Software — financial figures, customer identities and communications, business metrics, operational data, system architecture — is Detail Driven confidential information. You must hold it in strict confidence, use it only for your assigned duties, and not disclose it to anyone outside Detail Driven, during and after your engagement, indefinitely.
All access to the Software is logged. You consent to monitoring, recording, and audit of your access and activity. Detail Driven may investigate suspected violations and cooperate with law enforcement in prosecuting users who violate this Agreement or applicable law.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. DETAIL DRIVEN DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. FIGURES DISPLAYED IN THE SOFTWARE ARE OPERATIONAL SNAPSHOTS AND ARE NOT REPRESENTED AS ACCURATE FOR ACCOUNTING, TAX, OR LEGAL PURPOSES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DETAIL DRIVEN AND ITS OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DETAIL DRIVEN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
You agree to indemnify, defend, and hold harmless Detail Driven and its owners, employees, and agents from and against all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of this Agreement or your misuse of the Software or its data.
This Agreement is effective until terminated. It terminates automatically and immediately upon (a) any breach by you, (b) the end of your employment or engagement with Detail Driven, or (c) revocation of your access. Upon termination you must cease all use and destroy any copies of data obtained from the Software. Sections 5, 7, 8, 9, 10, 11, 13, and 14 survive termination.
This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Exclusive jurisdiction and venue for any dispute lie in the state and federal courts located in Teton County, Wyoming, and you consent to personal jurisdiction there.
This Agreement is the entire agreement regarding Software access and supersedes all prior understandings on that subject. If any provision is held unenforceable, the remainder continues in full force. Detail Driven's failure to enforce a provision is not a waiver. Detail Driven may amend this Agreement at any time by posting a revised version at this URL; continued use after posting constitutes acceptance. You may not assign this Agreement; Detail Driven may assign it freely.
